Terms of Service Agreement for Elite Data Insights

These Terms of Service (the "Agreement") govern the use of the services provided by Elite Data Insights (the "Company") to its clients. By using our services, you agree to be bound by this Agreement, including any amendments or updates that may be posted from time to time. If you do not agree to the terms of this Agreement, you may not use our services.

Services Provided

The Company provides data analytics services to its clients. Our services may include, but are not limited to, data collection, management, analysis, reporting, visualization, and consulting.

Client Responsibilities

Clients are responsible for providing accurate and complete data to the Company. Clients must also comply with all applicable laws and regulations related to the use and disclosure of data.

Confidentiality

The Company will treat all client data as confidential and will not disclose it to any third party without the client's consent. The Company will take reasonable measures to protect client data from unauthorized access, use, or disclosure.

Intellectual Property

The Company retains all intellectual property rights in its services, including any reports, analyses, or other deliverables provided to the client. Clients may use the deliverables for their own internal business purposes, but may not reproduce or distribute them without the Company's prior written consent.

Payment

Clients are responsible for paying all fees associated with the services provided by the Company. Fees will be agreed upon in advance and may be invoiced on a monthly or project basis. Payment is due within 30 days of the date of the invoice.

Termination

Either party may terminate this Agreement at any time for any reason upon written notice to the other party. Upon termination, the client must pay all fees owed to the Company for services provided prior to the termination date.

Disclaimer of Warranties

The Company makes no warranties or representations regarding the accuracy or completeness of the data provided by the client or the results of the services provided. The services are provided "as is" and the Company disclaims all warranties, express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability The Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the services provided under this Agreement, including but not limited to, lost profits, lost data, or business interruption, whether in contract, tort, strict liability, or otherwise, even if the Company has been advised of the possibility of such damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising under or in connection with this Agreement shall be resolved by the courts of Kenya.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, with respect to the subject matter of this Agreement.
